These terms of service (“Terms”) govern your use of the Contentrue platform, its admin panel, APIs and the brand websites it operates (collectively, the “Service”). The Service is provided by truethinks ltd, a company registered in England and Wales, with registered address at 128 City Road, London, EC1V 2NX, United Kingdom (“we”, “us”, “our”).
By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and have the legal authority to enter into a contract. If you are using the Service on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
2. Accounts and security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.
3. Acceptable use
You agree not to:
- Use the Service to publish content that is unlawful, defamatory, infringing, hateful, sexually explicit, misleading or otherwise harmful.
- Impersonate any person or misrepresent your affiliation.
- Bypass, disable or interfere with security-related features of the Service.
- Scrape, reverse-engineer or attempt to derive source code from the Service.
- Use the Service to send spam, unsolicited messages or malware.
- Violate the terms of any connected third-party platform, including Instagram’s Community Guidelines and Meta’s Platform Terms.
4. Content ownership and licence
You retain ownership of the content you submit or generate through the Service (“Your Content”). By using the Service, you grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content solely as necessary to provide the Service and to publish Your Content to the third-party platforms you connect.
You are solely responsible for Your Content, including ensuring you hold the rights required for it to be published, and for complying with the terms of any third-party platform to which it is published.
5. AI-generated content
The Service uses third-party AI providers (including OpenAI, Google Gemini and Wiro) to generate text, imagery and video. AI outputs may be inaccurate, incomplete or unoriginal. You are responsible for reviewing, editing and verifying any AI-generated output before publication. We make no guarantee that AI outputs are free of third-party rights or that they are suitable for any particular purpose.
6. Third-party platforms
The Service integrates with Meta Platforms’ Instagram Graph API and other third-party services. Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, accuracy or behaviour of third-party services, and we may modify or discontinue integrations at any time.
7. Fees and payments
Certain features of the Service may be subject to fees. Where fees apply, we will clearly indicate the amount, frequency and payment method. AI provider costs consumed during your use of the Service may be passed through to you.
8. Intellectual property
The Service, including its software, branding and design, is owned by truethinks ltd or its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute or create derivative works of the Service.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, create risk of legal liability for us, or if we discontinue the Service. On termination, we may delete Your Content in accordance with our retention policy.
10. Disclaimer of warranties
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that it will meet your requirements.
11. Limitation of liability
To the maximum extent permitted by law, truethinks ltd shall not be liable for any indirect, incidental, consequential, special or punitive damages, or for any loss of profits, revenue, data or goodwill arising out of or in connection with your use of the Service. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the greater of (a) the fees you paid us in the twelve months preceding the claim, or (b) one hundred British pounds (£100). Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification
You agree to defend, indemnify and hold harmless truethinks ltd and its affiliates from any claims, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Service, or your violation of these Terms.
13. Changes to the Service or Terms
We may modify the Service or these Terms at any time. Material changes to the Terms will be notified through the Service or by email. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
